References to 'we,' 'us,' 'our,' 'the Company,' or 'Reign Creatives' in these Terms shall refer to Reign Visuals LLC doing business as Reign Creatives Media. References to 'you,' 'your,' or 'Client' refer to any individual, healthcare provider, practice, organization, or entity that accesses our website or engages our services.
2. ACCEPTANCE OF TERMS
By accessing or using the Reign Creatives Media website at ReignCreatives.co or any of its subdomains, submitting any contact or opt-in form, or entering into a written service agreement with Reign Creatives Media, you confirm that:
You have read, understood, and agree to be bound by these Terms of Service in their entirety:
You are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent;
You agree to our Privacy Policy, which is incorporated into these Terms by reference;
You understand that these Terms constitute a legally binding agreement between you and Reign Visuals LLC.
If you do not agree to these Terms, you must immediately discontinue use of our website and refrain from engaging our services. We reserve the right to update or modify these Terms at any time without prior notice. Continued use of our website or services following any changes constitutes your acceptance of the revised Terms.
3. SERVICES OFFERED
Reign Creatives Media provides digital marketing, content creation, brand strategy, and related services exclusively for the healthcare industry. Our service offerings include but are not limited to:
Elite Content Strategy — Research-driven content planning, editorial calendars, blog writing, SEO optimization, and healthcare-specific content creation
Premium Cinematic Media — Video production, brand films, provider introduction videos, patient testimonial videos, and professional photography
Patient Journey Experience — Digital patient acquisition funnel design, Google Business Profile optimization, directory management, and website conversion optimization
Social Media Paid Advertising — Paid campaign management across Meta (Facebook and Instagram), Google Ads, YouTube, and LinkedIn
Social Media Management — Done-for-you content creation, scheduling, community management, and monthly performance reporting
Operational Healthcare Audit and Streamline Implementation — Digital operational audits, CRM setup, online booking optimization, and automated workflow implementation
We reserve the right to modify, suspend, or discontinue any service offering at any time. We will make reasonable efforts to notify active clients of material changes to services they are currently receiving.
4. SERVICE AGREEMENTS AND CONTRACT TERMS
4.1 Types of Agreements
Reign Creatives Media offers two primary types of service arrangements:
One-Off Project Contracts: Single-scope engagements for a defined deliverable or project. Terms, deliverables, timelines, and pricing are specified in the individual written agreement signed by both parties.
Monthly Retainer Contracts: Ongoing service agreements billed on a monthly basis. All retainer agreements require a minimum initial commitment of three (3) consecutive months before either party may elect to discontinue the engagement.
4.2 Written Agreements
All service engagements require a written agreement signed by both parties prior to commencement of any work. Written agreements are executed through HoneyBook or another mutually agreed-upon document execution platform. The individual written agreement for each engagement shall govern the specific scope, deliverables, timeline, and pricing applicable to that engagement and is supplemental to these Terms of Service.
4.3 Minimum Commitment for Retainers
Monthly retainer clients agree to a minimum term of three (3) consecutive months. After the initial three-month period, the retainer continues on a month-to-month basis unless either party provides written notice of termination at least thirty (30) days prior to the next billing cycle.
4.4 Termination
Either party may terminate a retainer agreement after the initial three-month period with thirty (30) days written notice delivered to the other party via email. Project-based contracts may be terminated as specified in the individual written agreement. Early termination of a retainer contract within the initial three-month minimum term will result in the Client remaining responsible for the balance of fees owed through the end of the minimum term.
5. BILLING AND PAYMENT TERMS
5.1 Accepted Payment Methods
Reign Creatives Media accepts payment through the following methods:

HoneyBook Invoicing Platform
All invoices are issued through HoneyBook or another agreed-upon invoicing platform. Payment terms, due dates, and billing cycles are specified in each Client's written service agreement and invoice.
5.2 Non-Refundable Retainer Fee
All service engagements require a fifty percent (50%) upfront retainer fee prior to the commencement of any work. This retainer fee is strictly non-refundable under all circumstances, including but not limited to Client's decision to cancel, change direction, or otherwise discontinue the engagement after work has begun.
5.3 Late Payments
Invoices not paid within the timeframe specified in the written agreement may result in suspension of services until payment is received. Reign Creatives Media reserves the right to charge a late payment fee as specified in the individual service agreement. Continued non-payment may result in termination of services and referral to collections.
5.4 Refund Policy
Aside from the non-refundable fifty percent (50%) retainer fee described above, refunds are evaluated on a case-by-case basis at the sole discretion of Reign Creatives Media. No refund is guaranteed except where required by applicable law. Any refund request must be submitted in writing to [email protected] within fourteen (14) days of the disputed charge. Reign Creatives Media will review the request and respond within ten (10) business days. Approval of any refund request does not set a precedent for future refund approvals.
6. INTELLECTUAL PROPERTY AND CONTENT OWNERSHIP
6.1 Co-Ownership of Created Content
Content created by Reign Creatives Media on behalf of a Client — including but not limited to videos, photographs, graphics, written copy, social media posts, and marketing materials — is co-owned by both the Client and Reign Creatives Media upon full payment of all invoiced amounts for that deliverable. Both parties are granted a perpetual, non-exclusive, royalty-free license to use, display, reproduce, and distribute the created content.
6.2 Portfolio and Promotional Use
By entering into a service agreement with Reign Creatives Media, the Client grants Reign Creatives Media the right to display, share, and promote work created under the engagement in Reign Creatives Media's portfolio, website, social media channels, case studies, marketing materials, and promotional content, including any testimonials provided by the Client or their representatives. This right survives the termination of the service agreement.
6.3 Pre-Existing Intellectual Property
Each party retains full ownership of any intellectual property created or owned prior to the commencement of the service agreement. Reign Creatives Media retains ownership of its proprietary methodologies, frameworks, tools, templates, systems, and processes, none of which are transferred to the Client under any service agreement.
6.4 Website Content
All original content on the ReignCreatives.co website — including but not limited to text, graphics, logos, images, audio, video, and software — is the property of Reign Visuals LLC and is protected by applicable United States and international copyright and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any website content without the express written permission of Reign Creatives Media.
7. HEALTHCARE INDUSTRY AND PATIENT PRIVACY
7.1 Nature of Services in the Healthcare Space
Reign Creatives Media operates exclusively within the healthcare industry. We understand the heightened sensitivity of the healthcare environment, including the importance of patient privacy, regulatory compliance, and the ethical standards governing healthcare communications.
7.2 Client Responsibility for Patient Information
Reign Creatives Media does not collect, store, process, access, or transmit any patient health information, Protected Health Information (PHI), or personally identifiable patient data in the course of providing its services. The Client bears full and sole responsibility for ensuring that any content, information, imagery, testimonials, or other materials provided to Reign Creatives Media for use in marketing and content creation are fully compliant with the Health Insurance Portability and Accountability Act (HIPAA), applicable state healthcare privacy laws, and all other relevant regulations.
7.3 Client Representations Regarding Patient Consent
By providing any patient-related content, testimonials, images, or identifying information to Reign Creatives Media, the Client represents and warrants that:
Appropriate written patient consent has been obtained for any content involving identifiable patients;
The content provided does not include any PHI or protected health data without proper written authorization;
The Client's use of any patient content in marketing materials complies fully with HIPAA and all applicable privacy regulations;
The Client will indemnify and hold harmless Reign Creatives Media from any claims, penalties, fines, or legal actions arising from the Client's failure to obtain proper patient consents or the Client's provision of non-compliant content.
7.4 Limitation of Liability for Privacy Matters
Reign Creatives Media shall not be held liable for any privacy breach, HIPAA violation, regulatory penalty, patient complaint, or legal claim arising from content, data, or information provided by the Client. Our liability in any privacy-related matter is limited to the fees paid by the Client in the thirty (30) days immediately preceding the event giving rise to the claim.
Note: Reign Creatives Media is a digital marketing agency and is not a Covered Entity or Business Associate under HIPAA as defined by the U.S. Department of Health and Human Services. Clients are solely responsible for their own HIPAA compliance obligations.
8. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
8.1 No Guarantee of Results
Reign Creatives Media makes no guarantees, representations, or warranties regarding specific outcomes, results, patient acquisition numbers, revenue growth, social media follower counts, search engine rankings, return on investment, or any other measurable business metric as a result of our services. Digital marketing results are influenced by a wide variety of factors beyond Reign Creatives Media's control, including but not limited to market conditions, platform algorithm changes, the Client's internal operations, competitive landscape, and patient behavior.
8.2 Client Satisfaction
While Reign Creatives Media is committed to delivering high-quality work and will make reasonable efforts to meet the agreed-upon scope and standards described in each Client's written service agreement, Client satisfaction is subjective and not guaranteed. Dissatisfaction with creative direction, content style, results, or any subjective aspect of the services delivered does not constitute grounds for a refund beyond what is expressly stated in Section 5.4 of these Terms.
Each written service agreement signed by the Client contains additional contractual terms specific to that engagement's scope, deliverables, and expectations. The terms of the individual written agreement govern disputes related to specific deliverables and supplement this general limitation of liability.
8.3 Disclaimer of Warranties
THE WEBSITE AND ALL SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. REIGN CREATIVES MEDIA DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8.4 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REIGN VISUALS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF PATIENTS, LOSS OF BUSINESS OPPORTUNITY, OR DAMAGE TO REPUTATION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES PROVIDED, EVEN IF REIGN CREATIVES MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, REIGN CREATIVES MEDIA'S TOTAL AGGREGATE LIABILITY TO ANY CLIENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THAT CLIENT TO REIGN CREATIVES MEDIA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. DATA COLLECTION AND PRIVACY
9.1 Website Data Collection
Reign Creatives Media collects personal information from website visitors only when they voluntarily submit information through contact or opt-in forms on our website. Information collected through forms may include name, email address, phone number, and practice or organization details. This information is collected and stored through HighLevel, our CRM platform.
9.2 Cookies and Tracking Technologies
Our website currently uses cookies to enhance user experience and website functionality. Cookies are small data files placed on your device when you visit our website. You may configure your browser to refuse cookies; however, doing so may affect certain functionality of our website. We do not currently use third-party tracking pixels on our website. 10. CLIENT RESPONSIBILITIES
By engaging Reign Creatives Media's services, the Client agrees to:
Provide accurate, complete, and timely information, assets, approvals, and feedback required for the delivery of agreed-upon services;
Designate a primary point of contact within their organization who has the authority to approve deliverables and make decisions on behalf of the organization;
Ensure all content, patient information, logos, images, and materials provided to Reign Creatives Media are owned by or properly licensed to the Client and do not infringe upon any third-party intellectual property rights;
Ensure compliance with all applicable laws and regulations, including HIPAA and any healthcare-specific advertising and marketing standards;
Review and provide feedback on deliverables within the timeframes specified in the written service agreement — delays caused by Client's failure to provide timely feedback may affect project timelines and are not the responsibility of Reign Creatives Media;
Make all payments in accordance with the agreed-upon billing schedule.
11. THIRD-PARTY PLATFORMS AND TOOLS
In delivering its services, Reign Creatives Media may use or recommend third-party platforms, tools, and services including but not limited to HighLevel, Meta (Facebook and Instagram), Google, HoneyBook, Zapier, and others. Reign Creatives Media is not responsible for the terms, policies, availability, or functionality of any third-party platform. Your use of any third-party platform in connection with Reign Creatives Media's services is governed by that platform's own terms of service and privacy policy.
Reign Creatives Media does not make any representations or warranties regarding the continued availability, performance, or compliance of any third-party platform. Changes to third-party platforms — including algorithm changes, policy changes, or platform discontinuation — do not constitute a breach of our service agreement and do not entitle the Client to a refund or reduction in fees.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Reign Visuals LLC, its officers, directors, employees, agents, licensors, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of our website or services;
Your breach of these Terms of Service;
Your violation of any applicable law, regulation, or third-party right;
Any content, materials, or information you provide to Reign Creatives Media;
Any patient privacy violation, HIPAA breach, or healthcare regulatory violation arising from materials or information you provided to us;
Any claim by a third party related to content we created on your behalf using materials or information you provided.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 Governing Law
These Terms of Service and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.
13.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by Reign Creatives Media, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails, the parties agree to submit the dispute to non-binding mediation in Denton County, Texas before initiating any formal legal proceedings.
13.3 Jurisdiction and Venue
If mediation is unsuccessful, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Denton County, Texas. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
13.4 Waiver of Class Action
To the fullest extent permitted by applicable law, you waive any right to bring or participate in any class action lawsuit, class-wide arbitration, or any other proceeding in which either party acts or proposes to act in a representative capacity against Reign Visuals LLC.
14. GENERAL PROVISIONS
14.1 Entire Agreement
These Terms of Service, together with the Privacy Policy and any individual written service agreements, constitute the entire agreement between you and Reign Visuals LLC regarding the subject matter herein and supersede all prior agreements, understandings, representations, and warranties.
14.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
14.3 Waiver
No failure or delay by Reign Creatives Media in exercising any right, power, or remedy under these Terms shall constitute a waiver of that right, power, or remedy. Any waiver must be in writing and signed by an authorized representative of Reign Visuals LLC.
14.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Reign Creatives Media. Reign Creatives Media may assign its rights and obligations under these Terms at any time without notice to you.
14.5 Force Majeure
